Terms of Service

By creating an account, accessing the service, or making any use of ContractFill, you explicitly agree to all terms, conditions, and policies contained in this agreement. You acknowledge that you have read, understood, and accept these terms without reservation.

At signup, you will be required to accept these Terms of Service through a clickthrough consent mechanism. This acceptance is a binding legal agreement between you and ContractFill.

If you are using ContractFill on behalf of a brokerage or organization, you represent that you have authority to bind that entity to these terms.

What ContractFill Does:

• Provides an AI-guided interface to help you complete real estate contract forms
• Generates PDF contracts from AREA (Alberta Real Estate Association) licensed form templates
• Integrates with DocuSign for electronic signatures
• Optionally connects with third-party apps (e.g., Trello, Google Drive) for workflow and backup, and integrates with Stripe for billing
• Stores transaction data securely using Supabase

What ContractFill Does NOT Do:

• Provide legal advice or legal counsel
• Replace the need for a lawyer, broker review, or supervisory review
• Guarantee that generated contracts are legally valid or complete
• Act as a law firm or provide professional legal services
• Ensure compliance with all applicable real estate regulations or transaction requirements

ContractFill is a form-completion tool powered by AI. It helps guide you through the process of filling out AREA-licensed forms but does not create legal documents on your behalf.

As a user of ContractFill, you agree to the following responsibilities:

• Verify All Content: You must review and verify all contract content, terms, dates, prices, and party information before the contract is presented to any client or party.
• Maintain Valid Credentials: You must maintain an active, valid CREA ID and RECA license throughout your use of ContractFill. Use of this service by non-licensed individuals is prohibited.
• Comply with AREA Standards: You must ensure all generated contracts comply with AREA form standards, CREA Code of Ethics, and all applicable Alberta real estate regulations.
• Account Security: You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
• Supervisory Review: If required by your brokerage, you must ensure appropriate broker or supervisory review of all contracts before execution.
• Lawful Use: You agree not to use ContractFill for any unlawful purpose or in any way that violates real estate regulations, professional ethics, or applicable law.
• No Fraud or Misuse: You agree not to create false or misleading contracts, misrepresent terms, or use ContractFill to facilitate fraud.

Eligibility Requirements:

ContractFill is available only to licensed real estate professionals in Alberta. To use this service, you must:

• Be a licensed Alberta realtor with an active CREA ID
• Hold a valid RECA license or be sponsored by a licensed broker
• Provide accurate, truthful information during signup
• Be at least 18 years of age

Account Information:

You agree to provide accurate, current, and complete information during account creation. You are responsible for updating your account information if it changes. ContractFill reserves the right to verify your CREA ID and RECA licensing status at any time.

Account Security:

You are solely responsible for maintaining the confidentiality of your username, password, and any access credentials. You agree to notify ContractFill immediately of any unauthorized access or security breach. ContractFill is not liable for any loss or damage resulting from unauthorized account access.

Subscription Plans:

ContractFill offers the following subscription tiers:

• Starter Plan: $39/month (3 transactions per month)
• Professional Plan: $59/month (10 transactions per month)
• Brokerage Plan: Custom pricing (contact for details)

Transaction Definition:

A "transaction" is counted when a contract is DOWNLOADED as a PDF through ContractFill. Multiple drafts or revisions of the same contract (same property address and same buyer/seller) count as ONE transaction. Amendments, notices, and addendums are charged as separate transactions.

Billing Example:

Billing & Payment:

• All payments are processed securely through Stripe
• Billing occurs automatically on the same day each month
• You authorize ContractFill to charge your payment method on file
• Failed payments may result in service suspension
• You are responsible for maintaining valid payment information

Auto-Renewal:

Your subscription will automatically renew each month unless you cancel. You can cancel your subscription at any time through your account settings.

Cancellation & Refunds:

• You may cancel your subscription anytime with no penalty
• Cancellations take effect at the end of your current billing cycle
• No refunds are provided for partial months or unused transactions
• You will lose access to ContractFill at the end of your billing cycle if you cancel

Overage Charges:

If you exceed your monthly transaction limit, you will be charged $10 per additional transaction. You will be notified before overage charges are applied.

Price Changes:

ContractFill reserves the right to change subscription prices with 30 days' notice. Continued use of the service after the notice period constitutes acceptance of new pricing.

Billing Dispute Process:

If you dispute a charge or believe you have been incorrectly billed, please contact us within 30 days of the charge at hello@contractfill.ca. Include your account details, transaction dates, and a description of the dispute. ContractFill will investigate and respond to your dispute within 5 business days.

ContractFill Ownership:

ContractFill, including all software, code, user interface, design, and functionality, is owned by ContractFill and is protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive license to use ContractFill solely for completing real estate contracts.

Your Generated Contracts:

You retain ownership of the specific contract documents you generate using ContractFill (the "Contract Content"). You may use, modify, execute, and distribute your generated contracts as needed for your real estate transactions. ContractFill does not claim ownership of your Contract Content.

AREA Form Templates:

All AREA form templates are owned and licensed by the Alberta Real Estate Association. Your use of AREA forms is subject to AREA licensing terms. You agree to comply with all AREA requirements and restrictions on the use of their form templates.

Restrictions:

You may not reverse engineer, decompile, modify, or create derivative works of the ContractFill software. You may not copy, reproduce, or distribute the ContractFill platform without permission. Unauthorized use of ContractFill intellectual property is prohibited.

ContractFill integrates with the following third-party services. You agree that your use of these integrations is subject to their respective terms and privacy policies:

• DocuSign: Electronic signature and contract execution. Your documents are transmitted to and stored by DocuSign.
• Trello (Optional): Workflow management and task tracking. You may connect Trello to organize your transactions on a board.
• Google Drive (Optional): Document backup and cloud storage. You may connect Google Drive to sync generated contracts.
• Stripe: Payment processing and billing. All payments are processed and secured by Stripe.
• Supabase: Database and authentication services. Your account data and contracts are stored on Supabase infrastructure.
• Vercel: Application hosting and deployment. ContractFill is hosted on Vercel's infrastructure.
• SendGrid: Email delivery. Transactional and notification emails are sent via SendGrid.
• Anthropic Claude AI: AI form guidance. Your inputs and interactions are processed by Anthropic's Claude API.

Third-Party Liability:

ContractFill is not responsible for the performance, availability, security, or functionality of third-party services. If any third-party integration fails, becomes unavailable, or causes loss of data, ContractFill is not liable. You are responsible for reviewing the terms and privacy policies of all integrated services.

In the event of a third-party outage or failure, ContractFill will use reasonable efforts to restore service but makes no guarantee of uninterrupted availability.

Your use of ContractFill is also governed by our Privacy Policy. Please review our Privacy Policy to understand our data collection, use, and protection practices.

PIPEDA & PIPA Compliance:

ContractFill commits to complying with the Personal Information Protection and Electronic Documents Act (PIPEDA) at the federal level and the Personal Information Protection Act (PIPA) in Alberta. We will protect your personal information in accordance with these privacy laws.

Your Data:

• Your account information, credentials, and usage data are stored securely
• Generated contracts and client information are stored in your account
• You are responsible for maintaining backup copies of your important documents
• ContractFill uses industry-standard security measures to protect your data

Data Access & Deletion:

You may request access to your personal data or request deletion of your account. See Section 12 (Termination) for post-termination data access details.

Subscription Termination:

You may terminate your ContractFill subscription at any time by canceling through your account settings. Your access will end at the conclusion of your current billing cycle.

Suspension or Termination by ContractFill:

ContractFill reserves the right to suspend or terminate your account if:

• Your CREA ID or RECA license becomes inactive or invalid
• You violate these Terms of Service
• You use ContractFill for unlawful purposes or fraud
• You fail to pay your subscription fees after a 30-day notice
• You breach CREA Code of Ethics or RECA regulations
• Your account is used to create false, fraudulent, or misleading contracts

Effect of Termination:

Upon termination or cancellation:

• Your access to ContractFill will be disabled immediately (or at end of billing cycle for voluntary cancellation)
• You will no longer be able to create, generate, or access new contracts through ContractFill
• Your account data and generated contracts will remain available for 30 days
• After 30 days, all account data will be deleted unless you request an extended access period

Data Access After Termination:

If your subscription is terminated, you will have 30 days to access and download your account data, including any generated contracts. After 30 days, your data may be deleted. If you need extended access, contact hello@contractfill.ca to request an archive of your data.

ContractFill is not responsible for loss of data after your account is terminated.

These Terms of Service are governed by and construed in accordance with the laws of the Province of Alberta, Canada, without regard to its conflict of law principles.

You irrevocably consent to the exclusive jurisdiction of the courts of Alberta for any legal proceedings or disputes arising from these Terms or your use of ContractFill.

You waive any objection to jurisdiction or venue and agree that any legal action will be brought in the courts of Alberta.

ContractFill may modify these Terms of Service at any time. Material changes will be communicated to you via email at least 30 days before the changes take effect.

Your continued use of ContractFill after the effective date of changes constitutes your acceptance of the modified terms. If you do not agree with changes to the Terms, you may terminate your subscription.

Minor changes, clarifications, and non-material updates may be made without advance notice. We recommend reviewing these Terms periodically for updates.
